Led by Suzanne Friday, Senior Counsel and Vice President of Legal Affairs for the Council on Foundations, and Lindsay Mason, Director of Corporate Philanthropy, this workshop is organized to ensure common legal questions for administering grants, board governance and charitable giving activities are addressed. Suzanne will provide technical and practical understanding of complex rules and regulations impacting private and corporate foundations/giving programs.
The Council’s legal team will tailor each session to emphasize the issues most frequently addressed in their interactions with private foundations and corporate grantmakers. Sessions will be structured to ensure there will be time for questions and an in-depth discussion of the answers.
This workshop is open to any of the following employees eager to dive into the legalities of charitable activities, develop a better understanding of the law and unlock effective management and leadership tools of private and corporate foundations/giving programs.

9:00-10:00 a.m.—General Overview of New Rules, Regulations and Developments for Corporate/Private Foundations
Suzanne Friday, Council on Foundations' Senior Counsel and VP of Legal Affairs, will discuss rules or regulations for corporate and private foundations, as well as share the implications of new tax guidelines from Congress.
10:00-11:45 a.m. — Session 1
Deep Dive: Attendees will learn pressing subjects and issues such as self-dealing, sponsorships, governance structure and employee engagement liabilities.
12:00-1:00 p.m.—Networking Lunch with Q&A
1:15-2:30 p.m.—Session 2
Hot Topics: Attendees will help shape the agenda on topics to explore and issues to address ranging from the use of donor advised funds and terminating/merging foundations to mission-related investments.
2:45-3:30 p.m.—Session 3
Grantmaking Due Diligence & Compliance Basics: Expenditure responsibilities, grant agreements, board approvals, international processes will be discussed.
3:30-4:00 p.m.—Wrap up and General Q&A
