Legal & Tax Compliance for Corporate Grantmakers

In collaboration with Minnesota Council on Foundations and Briggs & Morgan, national and local experts will provide an introduction to issues that often face corporate foundations and corporate giving programs. The session will cover a variety of topics including self-dealing, conflicts of interest, benefit events/ticket purchases, corporate sponsorships and donor recognition issues. Using real life examples, this session will help you understand how to stay compliant in a variety of situations.

The session will cover a variety of topics including self-dealing, conflicts of interest, benefit events/ticket purchases, corporate sponsorships and donor recognition issues. Using real life examples, this session will help you understand how to stay compliant in a variety of situations.

Session participants will:

  • Learn to distinguish between self-dealing and conflicts of interest.
  • Understand the nuances of self-dealing when corporate sponsorship or event support includes corporate recognition or advertising and know what is acceptable and what is not.
  • Learn about issue spotting – knowing when to ask for further clarification and how to ask those tough questions.

Presenters:

Alison Midden co-chairs the estate planning and administration section of Briggs & Morgan where she focuses on:

  • Estate planning
  • Estate and trust administration
  • Guardianships and conservatorships
  • Nonprofits

Alison advises clients on estate, gift and generation-skipping transfer taxes, charitable planning, asset-protection planning and disability planning. She is a trusted adviser to clients in estate and trust court proceedings as well, including will contest litigation and tax controversies.

Alison also works with a variety of tax-exempt organizations and charitable trusts, helping organizations obtain and keep tax-exempt status, and advising on governance, structure and compliance with federal and state tax law.

Suzanne S. Friday, senior counsel and vice president of legal affairs, joined the Council on Foundations in 2013. Previously, she was a partner with Nauman Smith Shissler & Hall, LLP, where she chaired the firm’s Tax, Trust and Estates group. Suzanne has extensive experience representing nonprofit organizations including community foundations, charitable trusts, private foundations and corporate foundations.
